Elimu Partner Agreement

This agreement governs your participation in the Elimu Partner Network. By applying you confirm that you have read and accept these terms.

1. Independent partner relationship

You participate as an independent partner, not as an employee, agent, or legal representative of ElimuSys. You may not make commitments or accept payments on our behalf without written authorisation.

2. Referral attribution

Referrals are attributed through your unique partner code and tracked referral link. Attribution is confirmed when a referred school submits an onboarding request using your link. We may correct attribution where there is evidence of duplicate, fraudulent, or conflicting claims.

3. Commission

Commission is calculated on net subscription revenue actually collected from a referred school, excluding taxes, discounts, and payment processing fees. The applicable rate depends on your tier at the time the payment is recorded. Recurring commission applies for the first 12 months of the school's subscription unless your tier states otherwise.

4. Payment holds and refunds

Commission is held for 30 days after a school payment clears. If a payment is refunded, reversed, or charged back, the related commission is voided. Paid commissions may be adjusted against future earnings where a refund is processed after payout.

5. Payouts

Payouts are made after approval, once your available balance reaches the minimum threshold. You are responsible for providing accurate M-Pesa or bank details and for any taxes applicable to your earnings.

6. Conduct

You must represent ElimuSys accurately and may not use misleading claims, spam, or incentives that violate applicable law. We may suspend or terminate a partner account for fraud, misrepresentation, or conduct that harms schools or the platform.

7. Changes

We may update commission rates, tier thresholds, or these terms with notice. Continued participation after an update constitutes acceptance of the revised terms.
